We reserve the right to modify, suspend or discontinue any publicly described service, subject to our existing contractual obligations.
5. Enquiries, Proposals and Engagements
Submitting an enquiry through our website does not automatically create a client relationship or guarantee that we will accept the proposed engagement.
Any proposal or quotation we issue may specify its validity period, scope, assumptions, pricing, payment schedule, delivery milestones and other applicable conditions.
A project will commence when the required agreement has been accepted and any agreed initial payment or onboarding requirements have been completed.
Changes to the agreed scope may require a revised quotation, additional fees or an adjustment to delivery timelines.
6. Client Responsibilities
Clients agree to:
-
Provide accurate and complete project information.
-
Supply necessary content, access credentials, materials and approvals in a timely manner.
-
Ensure they have the necessary rights and permissions to provide materials and data to us.

Maintain appropriate backups of their existing systems and data.
-
Ensure that their intended use of the deliverables complies with applicable laws.

Inform us of relevant technical, security, operational or regulatory requirements.
Delays caused by missing information, delayed approvals or other client dependencies may affect delivery schedules and costs.
7. Fees and Payments
Fees, payment schedules, taxes, currency and payment methods will be specified in the relevant proposal, invoice or agreement.
Unless otherwise agreed in writing:
-
Invoices are payable by the due date stated on the invoice.
-
Applicable taxes and statutory charges will be charged as required by law.
-
Additional work outside the agreed scope may incur additional fees.
-
Third-party costs, subscriptions, licences, hosting and infrastructure charges may be billed separately.
-
Work may be paused for overdue payments, subject to the applicable agreement and law.
Any deposits, cancellations, refunds or payment disputes will be handled according to the relevant agreement and applicable law.
8. Project Delivery and Acceptance
We will make reasonable efforts to deliver agreed work within the estimated timelines. Delivery dates may depend on project complexity, client cooperation, third-party services and other circumstances beyond our reasonable control.
Where acceptance criteria or a review period are agreed, the client must review the deliverables against those criteria within the specified period.
Defects, revisions and additional functionality will be handled according to the agreed scope and support terms. Requests that materially change the original requirements may be treated as additional work.
9. Intellectual Property
9.1 Client Materials
Clients retain ownership of the materials, data, trademarks, content and other intellectual property they provide to us.
Clients grant us permission to use those materials only as reasonably necessary to perform the agreed services, subject to the relevant agreement.
9.2 Project Deliverables
Ownership and licensing of custom software, designs, documentation and other deliverables will be governed by the relevant project agreement.
Where no separate intellectual property terms have been agreed, payment alone should not be interpreted as automatically transferring ownership of all underlying intellectual property.
9.3 Pre-existing Materials and Tools
We retain ownership of our pre-existing software, reusable code, libraries, frameworks, templates, methodologies, know-how and internal tools, except where expressly agreed otherwise in writing.
Where these materials form part of a deliverable, the client will receive the rights or licence expressly specified in the relevant agreement.
9.4 Third-Party and Open-Source Components
Deliverables may incorporate third-party software, open-source components, APIs, fonts, libraries or other licensed materials. Their use remains subject to the applicable third-party licence terms.
We do not transfer ownership of intellectual property belonging to third parties.
9.5 Portfolio and Publicity
We will not publicly disclose confidential project details or use a client's name, logo or project materials in promotional content without appropriate permission, unless otherwise agreed in writing or permitted by law.
10. AI and Automated Systems
Our services may involve AI models, machine learning systems, generative AI tools, automated agents and third-party AI platforms.
Clients acknowledge that AI-generated outputs may be inaccurate, incomplete, inconsistent or unsuitable for particular purposes and may require human review.
Unless expressly agreed otherwise:
-
AI-generated outputs are not guaranteed to be error-free.
-
AI systems should not be relied upon as the sole basis for high-impact decisions without appropriate review.
-
AI integrations may depend on third-party models, APIs, availability, pricing and usage policies.
-
Model behaviour and third-party AI services may change over time.
-
Clients remain responsible for reviewing outputs and determining whether their intended use is appropriate.
Any specific requirements relating to AI governance, data handling, model evaluation, human oversight or regulatory compliance must be agreed as part of the relevant engagement.
11. Software Audits and Compliance Readiness
Where we provide software audits, security assessments, architecture reviews, technical due diligence or compliance readiness services, our findings are based on the agreed scope, information available, tools used and assessment period.
Unless expressly agreed in writing:
-
An assessment does not guarantee that all defects, vulnerabilities or risks will be identified.
-
A software health report is not a guarantee of future performance, security or reliability.
-
Compliance readiness support does not constitute certification, legal advice or a guarantee of regulatory compliance.
-
Certification, formal audits, penetration testing or specialist legal services may require independent qualified professionals.
-
Clients remain responsible for deciding whether and how to implement our recommendations.
Any formal certification or assurance outcome must be issued by the relevant authorised or independent body, where applicable.
12. Confidentiality and Data Protection
Both parties may receive confidential business, technical, financial or operational information during an engagement.
Each party agrees to use the other party's confidential information only for the relevant business purpose and to take reasonable steps to prevent unauthorised disclosure.
Confidentiality obligations do not ordinarily apply to information that is publicly available without breach, already lawfully known, independently developed or lawfully received from another source.
Where required, confidentiality and data-processing obligations will be documented in a separate agreement.
Our collection and handling of personal information are described in our Privacy Policy, available on our website.
13. Third-Party Services
Our solutions may rely on third-party providers, including hosting companies, cloud platforms, payment gateways, AI services, software vendors, APIs and marketplace platforms.
Such providers operate under their own terms, service levels and privacy policies.
We are not responsible for third-party outages, policy changes, price increases, discontinued services or actions outside our reasonable control. We will, where appropriate, work with clients to address such issues in accordance with the agreed scope.
Clients are responsible for maintaining third-party accounts, subscriptions and licences assigned to them, unless otherwise agreed.
14. Maintenance and Support
Maintenance, monitoring, hosting, support, updates and service-level commitments are included only where expressly specified in the relevant agreement.
Unless otherwise agreed, project delivery does not automatically include indefinite maintenance, ongoing monitoring, hosting, security updates or technical support.
Support requests may be subject to separate fees, response times and service conditions.
15. Warranties and Disclaimers
We will perform our services with reasonable care and skill, subject to the applicable agreement and law.
Except for express commitments made in writing and to the extent permitted by law, our website and general service descriptions are provided for informational purposes and do not constitute a guarantee of particular commercial results.
We do not guarantee that:
-
Software will operate without interruption or defects.
-
A system will be compatible with every third-party platform or future update.
-
AI outputs will always be accurate or appropriate.
-
A project will achieve specific revenue, conversion, performance or business outcomes unless expressly agreed.
-
Third-party services will remain available or unchanged.
Nothing in these Terms excludes or limits a consumer guarantee, statutory right or other liability that cannot lawfully be excluded or limited.
16. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses, loss of anticipated profits, loss of business opportunities or loss of goodwill arising from an engagement, except where such losses cannot lawfully be excluded.
Subject to applicable law and any separate agreement, our total liability arising from a particular engagement will be limited to the fees paid or payable for the specific services giving rise to the claim during the twelve months preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded, including where applicable law prohibits such limitation.
Nothing in this section removes any non-excludable rights available to consumers or other protected parties under applicable law.
17. Indemnity
To the extent permitted by applicable law, each party will be responsible for losses, claims and reasonable costs arising from its own breach of contract, unlawful conduct, infringement of third-party rights or negligence.
Any specific indemnity obligations, exclusions or liability limits will be governed by the relevant project agreement.
18. Suspension and Termination
Either party may terminate an engagement in accordance with the applicable project agreement.
Where no termination procedure has been agreed, either party may request termination by providing written notice and allowing a reasonable opportunity to resolve outstanding matters, subject to applicable law.
We may suspend access to our website or services where reasonably necessary to address security risks, unlawful activity, non-payment or material contractual breaches.
Upon termination, the client remains responsible for fees for work performed and approved expenses incurred up to the effective termination date, subject to the relevant agreement and applicable law.
Any provisions intended to survive termination, including confidentiality, intellectual property, payment obligations and liability provisions, will continue to apply as appropriate.
19. Website Use and Acceptable Conduct
When using our website, you agree not to:
-
Use the website for unlawful, fraudulent or harmful purposes.
-
Attempt to gain unauthorised access to systems or accounts.
-
Introduce malware or malicious code.
-
Interfere with website availability or security.
-
Copy, scrape or exploit website content in violation of applicable law or our rights.
-
Misrepresent your identity or authority.
-
Use our website in a manner that infringes third-party rights.
We may restrict access where reasonably necessary to protect our website, users, business or legal interests.
20. External Links
Our website may contain links to external websites and resources for convenience or informational purposes.
We do not control all external content and are not responsible for third-party websites, services, availability or privacy practices.
Accessing third-party websites is at your own discretion and subject to their terms.
21. Force Majeure
Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, widespread network outages, third-party service failures, epidemics or other comparable events.
The affected party will take reasonable steps to reduce the impact and resume performance when practicable.
Payment obligations for services already delivered will remain subject to the applicable agreement and law.
22. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of India, subject to mandatory consumer protection and other applicable laws that may apply in the relevant jurisdiction.
The parties will first attempt to resolve disputes through good-faith discussions.
Where a dispute cannot be resolved informally, it will be referred to the competent courts or another dispute resolution forum with jurisdiction under applicable law.
Nothing in this section prevents a party from exercising a mandatory legal right to bring a claim in another competent jurisdiction.
23. Changes to These Terms
We may update these Terms and Conditions from time to time to reflect changes in our business, services, technology or legal requirements.
The revised version will be published on our website with an updated date. Changes to an existing engagement will be subject to the relevant agreement and applicable law.
Your continued use of the website after updated terms are published constitutes acceptance only to the extent recognised by applicable law.
24. Severability and Waiver
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure or delay in exercising a right does not constitute a waiver of that right.
25. Entire Agreement
These Terms govern general use of our website and services. They do not replace a separately signed contract, statement of work, licence, non-disclosure agreement or other agreement applicable to a specific engagement.
Where a specific agreement conflicts with these Terms, the specific agreement will prevail for that engagement to the extent of the conflict.
